Practitioner Participation Agreement

1. Parties + Scope

This Agreement is between Evaligned Pty Ltd (ACN/ABN registered in Australia, trading as “Evaligned”) and you, the practitioner whose details are submitted via the signup form (the “Practitioner”).

Evaligned operates a self-development platform that includes a directory of independently practising therapists, counsellors, coaches, and complementary practitioners. This Agreement governs your listing in that directory and your receipt of referrals via the Evaligned matching system. It does NOT establish an employment, agency, partnership, or joint-venture relationship between you and Evaligned. You remain a fully independent practitioner.

2. Eligibility + Ongoing Verification

To be listed in the Evaligned directory you must:

• Hold and maintain valid registration with at least one professional body relevant to your stream (clinical / registered / complementary), or hold a recognised credential as listed on your profile.
• Hold and maintain professional indemnity insurance covering all modalities you list on your profile, with cover at or above the minimum level published on the Evaligned For Practitioners hub.
• Hold a valid Australian Business Number (ABN) or equivalent legal trading entity in your jurisdiction.
• Comply with the codes of conduct, ethics, and continuing professional development requirements of your registering body.

You agree to notify Evaligned within 14 days of any change that may affect your eligibility, including registration suspension, insurance lapse, formal complaints, regulatory investigations, or criminal charges relevant to your practice. Evaligned may request evidence of registration or insurance currency at any time and may suspend your listing pending verification.

3. Member Referrals + Matching

Evaligned uses a proprietary matching algorithm to suggest practitioners to members based on their dimension scores, archetype, and stated needs. You acknowledge that:

• Evaligned does not guarantee any volume of referrals, conversion to bookings, or income.
• Match recommendations are based on data members have shared and the modalities and specialties you have declared. They are suggestions, not endorsements of fit for any individual case.
• You are solely responsible for assessing clinical fit, scope of practice, and capacity before accepting any client.
• You may decline any referral without reason and without affecting your standing in the directory.

4. Member Data + Consent

Members must explicitly consent before any of their assessment data is shared with you. Consent is granular: members can choose which fields to share (scores, archetype, AI summary, check-in themes, journal themes) and consent expires automatically after 90 days unless renewed.

You agree to:

• Treat all shared member data as confidential health information, regardless of whether it meets any specific statutory definition in your jurisdiction.
• Use shared data SOLELY for the purpose of assessing fit and informing your professional work with that member as a client of yours.
• NOT redistribute, publish, anonymise-and-publish, train AI models on, or otherwise exploit shared member data outside the direct practitioner-client relationship.
• Honour any subsequent member request to revoke consent or delete their shared record.
• Comply with the Australian Privacy Principles (APPs), the EU GDPR if you serve European clients, and any other privacy regime applicable to your practice.

5. Conduct + Practice Standards

You agree to:

• Practise only within the scope of competence reasonably evidenced by your qualifications, training, and supervision history.
• Adhere to the code of ethics of your primary registering body and to general professional standards regarding informed consent, confidentiality, dual relationships, and termination of care.
• Refer members to other practitioners or escalate to clinical or emergency services where the presentation falls outside your scope or warrants a higher level of care.
• Maintain appropriate clinical record-keeping in line with your regulatory body's requirements.
• Not represent yourself as employed by, supervised by, or operating under the clinical authority of Evaligned. The relationship is referral-based only.

6. AI-Generated Content

Members receive AI-generated outputs from Evaligned including pattern analyses, archetype framings, and dimension narratives. You acknowledge and agree that:

• These outputs are educational and self-reflective in nature, NOT clinical assessments, diagnoses, or formulations.
• You will NOT represent Evaligned-generated content to your clients as a clinical assessment, diagnosis, or formulation.
• You will use Evaligned-generated content only as one input among many in forming your own independent professional judgement.
• You retain full clinical responsibility for any decisions about a client's care.

7. Insurance + Indemnity

You warrant that you hold professional indemnity and public liability insurance appropriate to your practice and that this cover remains in force throughout the term of this Agreement. You will provide Evaligned with evidence of currency on request.

You indemnify Evaligned against any claim, loss, damage, or cost arising from:

• The professional services you provide to any member or other client.
• Your handling of member data once it has been shared with you.
• Any breach of this Agreement, of your registering body's code, or of applicable law.
• Any misrepresentation of your qualifications, registration, modalities, or specialties on your Evaligned profile.

8. Fees + Commercial Terms

Listing in the Evaligned directory is currently free of charge to verified practitioners. Evaligned does NOT take a commission, finder's fee, or referral fee on any client work that arises from a directory introduction. You set, charge, and collect your own fees directly from clients on terms you negotiate with them.

Evaligned reserves the right to introduce a directory listing fee, premium placement options, or other commercial structures in the future. Any such change will be communicated with at least 30 days' notice and you will have the option to remove your listing without penalty before any new fee takes effect.

9. Suspension + Termination

Either party may terminate this Agreement at any time, for any reason, with 7 days' written notice to the other. On termination, your directory listing will be removed, no further referrals will flow to you, and any active member-data consents will lapse.

Evaligned may suspend or terminate your listing immediately and without notice if:

• Your registration or insurance lapses, is suspended, or is cancelled.
• You are subject to a substantiated complaint, regulatory finding, or criminal charge that materially affects your fitness to practise.
• You materially breach this Agreement, the codes of your registering body, or applicable law.
• You misrepresent your qualifications, registration, or scope of practice on your Evaligned profile.

Termination does not affect any obligations you have to existing clients acquired via Evaligned referrals, nor does it affect ongoing confidentiality or data-handling duties under clause 4.

10. Intellectual Property

Evaligned's methodology, dimension model, archetype framework, AI outputs, and platform code remain the property of Evaligned. You receive a limited, non-exclusive, non-transferable licence to use the dimension model and archetype framework as a frame of reference in your work with members referred via Evaligned. You may not commercialise, sublicense, or build derivative products on the Evaligned methodology without prior written consent.

Profile content you submit (bio, photo, modalities, specialties, session types) remains your property. You grant Evaligned a non-exclusive licence to display this content in the directory and in associated marketing for the duration of your listing.

11. Changes to this Agreement

Evaligned may update this Agreement from time to time. Material changes will be notified to your booking email at least 14 days before they take effect. Continued use of the directory after the effective date constitutes acceptance of the updated terms. If you do not accept material changes, you may terminate under clause 9 without penalty.

12. Governing Law

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales for any dispute arising out of or in connection with this Agreement. Nothing in this clause prevents either party from seeking injunctive relief in any competent jurisdiction.
